CaellwynAI Terms of Service

1. Acceptance of Terms

By accessing our website, booking consultations, or using any services provided by CaellwynAI ("we," "us," or "our"), you ("client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Service Description

2.1 Consulting Services

CaellwynAI provides AI implementation consulting services, including but not limited to:

  • Strategic AI planning and roadmap development

  • AI tool evaluation and recommendations

  • Implementation guidance and best practices

  • Process optimization using AI technologies

  • Educational sessions on AI capabilities and limitations

  • Custom simple AI application development (when specifically contracted)
     

2.2 Advisory vs. Development Services Disclaimers

For Advisory Services: We provide strategic guidance, recommendations, and education only. We do not guarantee specific business outcomes or results for advisory services, and you maintain full responsibility for implementation decisions and outcomes.

For Development Services: When we provide custom development work:

  • We warrant that delivered applications will function as specified in the project agreement

  • Liability for development work is limited to correction of defects or refund as specified in the project agreement

  • You remain responsible for regulatory compliance, data security, and business outcomes from using developed applications
     

2.3 Service Delivery Formats

Initial Consultations: Our 30-minute consultation sessions serve as an entry point to assess client needs and determine the most appropriate service approach. These sessions are typically conducted remotely via video conferencing platforms, though in-person meetings may be arranged for local clients when mutually agreed upon.

Ongoing Engagements: Based on initial consultation findings, we may recommend and provide:

  • Multi-session consulting arrangements

  • Project-based implementation support

  • Custom development projects

  • Ongoing advisory relationships
     

Session Formats: While our standard initial consultation is 30 minutes, ongoing engagements may involve sessions of varying duration, project timelines, and delivery methods as specified in separate service agreements.
 

3. Client Responsibilities

3.1 Information Accuracy

You agree to provide accurate, complete, and current information about your business needs, technical environment, and objectives. Inaccurate information may affect the quality and relevance of our recommendations.
 

3.2 Session Preparation

You are responsible for:

  • Being prepared with specific questions or objectives for each session

  • Having necessary technical setup for video conferencing (for remote sessions)

  • Ensuring a suitable environment for confidential business discussions

  • Reviewing any pre-session materials we may provide

  • For in-person meetings: providing appropriate meeting space and any requested technical accommodations
     

3.3 Implementation Responsibility

Any implementation of AI tools, systems, or strategies discussed during consultations is entirely your responsibility. You must:

  • Conduct your own due diligence on recommended solutions

  • Ensure compliance with applicable laws and regulations

  • Verify technical compatibility with your existing systems

  • Obtain necessary approvals from your organization or stakeholders
     

4. Intellectual Property

4.1 Our Intellectual Property

All methodologies, frameworks, proprietary analysis tools, and presentation materials used in our consultations remain our intellectual property. You may not:

  • Reproduce or redistribute our proprietary methodologies

  • Use our materials for training or consulting others without written permission

  • Reverse engineer or attempt to recreate our analytical frameworks
     

4.2 Client Usage Rights

You have the right to:

  • Implement recommendations provided during paid consultations within your organization

  • Share general concepts and strategies internally within your company

  • Reference our advice in your internal decision-making processes

  • Use any custom applications we develop for you according to the terms specified in the project agreement
     

4.3 Client Information

Any information, data, or materials you share during consultations remain your property. We claim no ownership over your business information, data, or proprietary processes.
 

5. Confidentiality

5.1 Our Commitment

We treat all client information shared during consultations as confidential and will not disclose it to third parties without your written consent, except as required by law.
 

5.2 Your Obligations

You agree not to share, reproduce, or distribute our proprietary methodologies, frameworks, or detailed recommendations with third parties without our written consent.

5.3 Limitations

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no breach of these terms

  • Was known to us prior to your disclosure

  • Is independently developed by us without use of your confidential information

  • Is required to be disclosed by law or court order
     

6. Disclaimers and Limitations of Liability

6.1 Service Disclaimers

OUR ADVISORY SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FOR ADVISORY SERVICES, WE SPECIFICALLY DISCLAIM:

  • Any guarantee of specific business results or outcomes

  • Warranties regarding the suitability of recommended AI tools for your specific needs

  • Responsibility for changes in AI technology or tool availability after our consultation

  • Liability for third-party AI tool performance, security, or compliance

FOR DEVELOPMENT SERVICES, we provide limited warranties as specified in individual project agreements, but disclaim all other warranties not explicitly stated in writing.
 

6.2 Professional Limitations

We are not:

  • Licensed attorneys providing legal advice

  • Certified accountants providing financial advice

  • Technical implementers or system integrators

  • Responsible for regulatory compliance in your specific industry
     

6.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC CONSULTATION GIVING RISE TO THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS.
 

7. Payment and Billing

7.1 Payment Terms
  • Payment for initial consultations is due at the time of booking

  • For ongoing engagements, payment terms will be specified in the relevant service agreement

  • All fees are in US Dollars unless otherwise specified

  • You are responsible for any applicable taxes in your jurisdiction
     

7.2 Refunds and Cancellations

Refunds and cancellations are governed by our separate Refund Policy, which is incorporated by reference into these Terms of Service.
 

7.3 Late Payment

For ongoing engagements with invoiced services, accounts more than 30 days past due may result in suspension of services until payment is brought current.
 

8. Termination

8.1 Termination by Either Party

Either party may terminate the consulting relationship at any time with or without cause. Termination does not affect:

  • Obligations for services already provided

  • Outstanding payment obligations

  • Confidentiality obligations (which survive termination)
     

8.2 Effect of Termination

Upon termination:

  • No further sessions will be scheduled

  • Outstanding payments remain due

  • Confidentiality obligations continue indefinitely

  • You retain the right to implement previous recommendations
     

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from:

  • Your implementation of AI systems or strategies

  • Your violation of these terms

  • Your violation of applicable laws or regulations

  • Claims that your use of our recommendations infringes third-party rights
     

10. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
 

11. Governing Law and Disputes

11.1 Governing Law

These Terms of Service are governed by the laws of [Insert State], without regard to conflict of law principles.
 

11.2 Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

  1. Direct Communication: First, we encourage direct communication to resolve any issues

  2. Mediation: If direct communication fails, disputes will be submitted to binding mediation

  3. Arbitration: If mediation fails, disputes will be resolved through binding arbitration

12. General Provisions

These Terms of Service, together with our Refund Policy and Privacy Policy, constitute the entire agreement between us regarding our services.

12.3 Severability

If any provision of these terms is found unenforceable, the remaining provisions will remain in full force and effect.

You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations to any successor entity.
